Terms of Service

1. Acceptance

By using n5studio.com (the “Site”) or engaging N5 Studio (“we”, “our”) for design, development, hosting, or AI services (the “Services”), you agree to these Terms. If you do not agree, do not use the Site or the Services.

2. Who we are

N5 Studio is an independent web design and AI agency based in Rockford, Illinois, United States. Contact: hello@n5studio.com.

3. Use of the Site

You may use the Site for lawful purposes. You agree not to:

• Submit false information through any form.
• Scrape, automate, or otherwise abuse the Site, its API routes, or the AI chat endpoint.
• Reverse engineer, decompile, or attack the Site.
• Submit content that infringes third-party rights, contains malware, or violates law.

We may rate-limit, block, or remove any traffic that we reasonably believe is abusive.

4. Free audits and intro calls

We may offer a no-cost audit or intro call. These are informational. No client relationship is created until both parties sign a written engagement document or pay an invoice. Recommendations made during a free audit are advisory and not a guarantee of business outcomes.

5. Engagements, deliverables, payment

Project scope, deliverables, timeline, and price are governed by a separate written engagement document (proposal, statement of work, or invoice). To the extent of any conflict, that document controls over these Terms.

Standard payment terms unless otherwise agreed in writing:

• A deposit is required to reserve your build slot. If you are not happy with the direction after the first round of revisions, you may cancel and receive a full refund of that deposit. Once you approve the work past the first round, the deposit is applied to your balance and is non-refundable.
• Setup balances are due before launch. Monthly subscriptions are billed in advance and cancellable any month.
• Invoices are due on receipt. Past-due balances over 30 days may incur a 1.5% monthly late fee and may pause hosting or support.

6. Ownership of work

On full payment for a project, you own the custom code, copy, images, and brand assets we create for you specifically. Reusable components, frameworks, and infrastructure code we develop across projects remain ours.

You retain ownership of any content you provide to us (photos, logos, copy). You grant us a non-exclusive license to use it as needed to build, host, and maintain your Services.

Unless you opt out in writing, we may display your finished project in our portfolio and use your business name and logo as a client reference.

7. Third-party services

Your finished site may rely on third-party platforms (Vercel for hosting, Resend for email, Groq for AI, Meta or Google for advertising, Google Business Profile, etc.). Each is governed by that provider’s terms. We are not responsible for their outages, billing changes, or policy changes.

8. 30-day warranty

For 30 days after we launch your site, we will fix anything that breaks or doesn’t work as scoped, free of charge. After 30 days, fixes are covered by your monthly maintenance plan or billed as scoped work.

9. Disclaimers

The Site and the Services are provided “as is” without warranties of any kind, express or implied, including fitness for a particular purpose, merchantability, or non-infringement. We do not guarantee specific business outcomes such as lead volume, search rankings, or revenue.

AI features may produce inaccurate, biased, or unexpected output. Do not rely on AI output for legal, medical, financial, or safety-critical decisions.

10. Limitation of liability

To the maximum extent permitted by law, N5 Studio’s total liability for any claim arising out of or relating to the Site or the Services is limited to the amount you paid us in the 12 months preceding the claim. We are not liable for indirect, incidental, special, consequential, or punitive damages, or lost profits, even if advised of the possibility.

11. Indemnity

You agree to indemnify and hold N5 Studio harmless from claims arising out of content you provide to us, your violation of these Terms, or your violation of any third-party right.

12. Termination

Either party may cancel a monthly subscription at any time by written notice. We may suspend or terminate access to the Site or the Services if you breach these Terms or any engagement document.

On termination of a hosting subscription, we will provide a final export of your code and content within 14 days at no extra cost.

13. Governing law

These Terms are governed by the laws of the State of Illinois, without regard to conflict-of-laws principles. Exclusive venue for any dispute is the state or federal courts located in Winnebago County, Illinois.

14. Changes

We may update these Terms. Material changes will be announced on the homepage for at least 30 days. Continued use after the effective date constitutes acceptance.
