Terms of Service

1. Acceptance

By using n5studio.com (the “Site”) or hiring me to design, build, host, or run AI tools for your business (the “Services”), you’re agreeing to these Terms. If you don’t agree, please don’t use the Site or the Services.

2. Who I am

I’m Ryan Nesheim. N5 Studio is how I do business: I design and build websites, AI tools, and online marketing for small service businesses, mostly around Rockford, Illinois. Contact: hello@n5studio.com.

3. Use of the Site

You can use the Site for lawful purposes. You agree not to:

• Submit false information through any form.
• Scrape, automate, or otherwise abuse the Site, its API routes, or the AI chat and visibility-check tools.
• Reverse engineer, decompile, or attack the Site.
• Submit content that infringes someone else’s rights, contains malware, or breaks the law.

I may rate-limit, block, or remove any traffic I reasonably believe is abusive.

4. Free audits, demos and checks

I offer free audits, visibility checks, and a real before-you- pay demo of your actual business, not a template or a mockup of someone else’s site. These are informational. If you don’t like the demo, you walk away and it’s cost you nothing. No client relationship exists, and nothing is owed, until you sign up for a plan and your first payment goes through. Anything I tell you during a free audit, check, or demo is my honest read at the time, not a guarantee of results.

5. The Core and Plus plans

Core and Plus are monthly subscriptions: $0 down, no deposit, no setup fee, no build fee. Your first payment is your first month, due when you sign up, the same as any other subscription. What’s included in each plan is listed on /pricing, and that page controls over this one if the two ever disagree.

Both plans include a standard .com domain, registered with you as the owner, not me, plus hosting, SSL, and daily backups. The domain is capped around $20 a year; a premium or unusual domain just means you pay the difference, and it stays in your name either way.

The build itself typically takes about 7 days from the point I have your content and your go-ahead. If I miss that, the build is free. The demo I show you before you pay anything usually takes 2 to 3 days.

There’s no contract. Month to month, cancel any time by email, no phone call and no cancellation window.

6. Buying your site outright

If you’d rather own your site outright than pay monthly, I offer a one-time buyout, priced and described on /pricing. You pay once, plus a monthly hosting fee, and you own the site from day one. The buyout doesn’t include the unlimited updates, priority support, or monthly report that come with the monthly plans; anything you want changed afterward is quoted per job. Everything else in these Terms, ownership, third-party costs, your responsibilities, and the warranty, applies the same whether you’re on a monthly plan or the buyout.

7. The Visibility service

Visibility is a separate monthly service, not a website tier: $297 a month, $0 down, no setup fee, no contract, cancel any time by email. Your rate is locked for as long as you stay a client. I take one business per trade, per town, so if your spot is taken I’ll tell you rather than sign you up anyway.

Billing starts when your first report lands, usually about two weeks after you sign up, not the day you sign up. Your website is included, whether that means a new build, a rebuild, or working with the site you already have.

I will not promise that ChatGPT, Google, or any AI assistant will name your business. Nobody controls that, including me, and anyone who tells you otherwise is selling you something. What’s being sold is the work itself: reviews, listings, corroboration, and a monthly report showing where you stand against whoever is getting named right now.

8. Cancelling, and what happens to your site

Cancel any plan any time by emailing hello@n5studio.com. No phone call, no cancellation window, no minimum term. Your site stays live through the end of the month you’ve already paid for.

After that, I’ll send you a full export of your site files and help you move to your own hosting at no extra charge. Your domain is already registered in your name, so it stays yours no matter what. Nothing gets held hostage. This is worth checking against anyone else you talk to: some agencies’ terms say you lose the site when you leave. Mine don’t.

9. 30-day warranty

For 30 days after I launch your site, I’ll fix anything that breaks or doesn’t work as scoped, free of charge. This applies across the board: Core, Plus, Visibility, or the one-time buyout. After 30 days, fixes are covered by your monthly plan if you have one, or billed as scoped work if you bought out.

10. Ownership of work

Once your first payment clears, you own the custom code, copy, images, and brand assets I build specifically for you. Reusable components, frameworks, and infrastructure I’ve built across projects stay mine; that’s a big part of how I can offer this at these prices.

You keep ownership of anything you give me (photos, logos, copy, your reviews), and you’re granting me a non-exclusive license to use it to build, host, and maintain your site and related services.

Unless you tell me otherwise in writing, I may show your finished project in my portfolio and use your business name and logo as a client reference.

11. Third-party services and costs

Your site relies on outside platforms I don’t control: Vercel for hosting, Resend for email, Groq for AI chat, Meta and Google for ads and Google Business Profile, and similar tools. Each is governed by that provider’s own terms, and I’m not responsible for their outages, billing changes, or policy changes.

Some things bill you directly, and I don’t mark any of them up:

• Domains are capped around $20 a year and included in Core and Plus; a premium domain costs you only the difference.
• AI phone and voice minutes (if you add AI phone answering beyond what’s built into your plan) bill directly to you from the voice provider at cost, typically $0.10 to $0.15 a minute, usually $30 to $80 a month depending on call volume.
• Text-message (SMS) follow-up isn’t included in any plan. It requires carrier registration and consent handling under federal rules, so it’s quoted and billed separately and never bundled.

12. Your responsibilities

You’re responsible for the accuracy of the content you give me: your prices, hours, service area, licenses, insurance, and anything else that ends up on your site.

You’re responsible for making sure you actually hold the rights to, or have permission to use, any photos, logos, copy, testimonials, or customer reviews you ask me to publish. If a customer’s review or photo is going on your site, getting their OK for that is on you. I build what you give me in good faith; I’m not fact-checking your business license number or your customers’ consent.

13. Accessibility

I build every site to a reasonable standard of WCAG 2.2 AA practice: things like color contrast, keyboard access, alt text, and tap target sizing. That’s a baseline I aim for at launch, not a certification, and I make no guarantee that your site is, or will remain, fully compliant with the ADA, WCAG, or any other accessibility law or standard.

Once your site is live, you’re responsible for any content you add or edit yourself, and for your own legal compliance, including accessibility. If your business has specific accessibility obligations, talk to a lawyer, not me.

14. Disclaimers

The Site and the Services are provided “as is” with no warranties of any kind, express or implied, including fitness for a particular purpose, merchantability, or non-infringement. I don’t guarantee specific business outcomes such as lead volume, search rankings, AI visibility, or revenue.

AI features (chat, the visibility check, AI phone answering) can produce inaccurate, outdated, or unexpected output. Don’t rely on AI output for legal, medical, financial, or safety-critical decisions.

15. Limitation of liability

To the maximum extent the law allows, my total liability for any claim related to the Site or the Services is limited to whatever you paid me in the 12 months before the claim. I am not liable for indirect, incidental, special, consequential, or punitive damages, or lost profits, even if I was told they were possible.

16. Indemnity

You agree to cover me for claims arising from content you give me, your violation of these Terms, or your violation of someone else’s rights.

17. Termination

Either of us can end a monthly plan any time by written notice; an email is enough. I may suspend or end access to the Site or the Services if you breach these Terms or any separate engagement document.

If you end a hosting subscription, I’ll hand over a final export of your code and content within 14 days, at no extra cost.

18. Governing law

These Terms are governed by the laws of the State of Illinois, without regard to conflict-of-laws principles. Any dispute goes to the state or federal courts located in Winnebago County, Illinois.

19. Changes to these Terms

I may update these Terms as the business changes. I’ll post any material change on the homepage for at least 30 days. Using the Site or Services after that means you accept the update.
